OPC vs Private Limited in India: When One Founder Is Enough
Updated September 2026 · Kaithal, Haryana
If you are one Indian citizen and you will stay the only shareholder, an OPC can be the cleaner company. If a second name will sit on the cap table — co-founder, investor, or employee equity — incorporate a private limited company. That is the fork. SPICe+ is the same portal either way.
I file both from Kaithal. The miss is not “OPC is cheaper.” The miss is promising a priced round or an ESOP inside an OPC, or forcing a two-director private limited when there is still only one owner.
Who this is for
A sole founder choosing structure before the first ROC filing — typically a Haryana registered office and one resident director story.
Use this if the next twelve months are you, invoices, and a current account — with no second shareholder in the plan.
Skip this if you may take outside equity or share ESOPs. That is a private limited path. Read the Pvt Ltd vs LLP guide if the other fork is LLP, not OPC.
Skip it if a foreign parent wants 100% of an Indian company. An OPC cannot have a company as its sole member. That is the WOS / private limited path under FDI rules.
What the law is doing
An OPC is a company with only one member — section 2(62) of the Companies Act, 2013. It is formed as a private company under section 3(1)(c). It is not a sole proprietorship with a CIN taped on.
Rule 3 of the Companies (Incorporation) Rules, 2014 (as amended by G.S.R. 91(E) dated 1 February 2021, effective 1 April 2021): only a natural person who is an Indian citizen, whether resident in India or otherwise, may incorporate an OPC or be its nominee. A body corporate cannot be the sole member. A foreign citizen cannot be the sole member. A minor cannot be member or nominee.
For that rule, “resident in India” means stay of not less than 120 days in the immediately preceding financial year. That 120-day figure is the Rule 3 membership test. It is not the resident-director test.
Section 149(3) still applies to an OPC: at least one director must stay in India for not less than 182 days during the financial year. An NRI who is sole member and sole director, and who does not clock those 182 days, needs a second director for 149(3) — the company still has only one member.
One person may be member of only one OPC, and nominee in only one OPC, at the same time.
What we file
| OPC | Private limited company | |
|---|---|---|
| People at birth | 1 member + 1 nominee (INC-3 consent). 1 director is enough for membership; add a second director if section 149(3) is not met by that person. | 2 members and 2 directors (one director must meet section 149(3)). |
| Form | SPICe+ (INC-32) as an OPC. | SPICe+ as a private company. |
| Nominee | Mandatory. If the member dies or becomes incapacitated, the nominee becomes the member. | No OPC-style nominee. |
| Cap table / ESOP / priced round | One member. Equity to a second person means conversion first. | Shares and a cap table investors recognise. |
| Annual meeting |
No AGM — section 96(1) does not require an AGM for an OPC. The sole member’s decisions in lieu of a meeting are entered in the minutes book under section 122(3), read with section 118. |
AGM after the first financial year ends. |
| Board meetings | None if there is only one director (proviso to section 173(5); resolutions dated in the minutes book under section 122). If two or more directors: at least one Board meeting in each half of a calendar year, gap not less than 90 days. | Heavier Board calendar in a full year. |
| Annual return | Usually MGT-7A (OPC / small company abridged return). | MGT-7 or MGT-7A on facts. |
| After CIN | Same commencement logic if the company has share capital: INC-20A within 180 days of COI (section 10A). See the INC-20A note. | Same INC-20A clock. |

The old ₹50 lakh / ₹2 crore story
Portals still print “OPC must convert if paid-up exceeds ₹50 lakh or turnover exceeds ₹2 crore.” That compulsory conversion was omitted.
MCA’s own OPC FAQ: after the Companies (Incorporation) Second Amendment Rules, 2021, an OPC may continue as an OPC even if those old figures are crossed. Conversion is voluntary — Form INC-6 — after you increase members and directors to the private-company minimum and comply with section 18. An OPC cannot convert into a section 8 company.
INC-6 is the live form as of September 2026. MCA published draft Companies (Incorporation) Amendment Rules, 2026 that would fold INC-6 into a consolidated conversion form. That draft is not gazetted. We will change the form name here when a notification is issued — not before.
Do not plan a raise on “we will convert the weekend the term sheet arrives.” INC-6 is a project (MoA/AoA, extra director, filings). If a second shareholder is likely soon, file a private limited company now.
What founders miss
Using an OPC because “I am alone,” then promising a co-founder 20% on WhatsApp. That 20% is not an OPC instrument.
Putting a company or a foreign citizen as the “owner.” Rule 3 does not allow it. Use the WOS post.
Treating Rule 3’s 120-day membership stay as if it replaced section 149(3). An NRI sole member who is also the only director still needs 182 days in India that financial year, or a second director who meets 149(3).
Skipping the nominee or treating INC-3 as optional stationery.
Assuming INC-20A does not apply because “it is only one person.” Commencement follows share capital and COI, not headcount.
FAQ
Can I start as OPC and convert when I raise?
Yes, on facts, through INC-6 after you add the second member and director. It is not a toggle. If a raise is likely soon, we usually incorporate a private limited company now.
Can two brothers run an OPC together?
No. One member. The other can be director or nominee on the rules — not a second shareholder — until you convert.
Can an NRI who is an Indian citizen form an OPC?
Rule 3 after G.S.R. 91(E) allows an Indian citizen whether resident or otherwise. Confirm the 120-day Rule 3 count and FEMA on that person’s facts before you lock SPICe+. Separately confirm section 149(3): if that NRI is the only director and will not stay 182 days in the financial year, appoint a second director who will. One member is not the same as one director.
Can a foreign national be the sole member?
No. Citizenship is the gate. A foreign parent that wants 100% uses a private limited WOS, not an OPC.
Is OPC better for tax?
Wrong first question. Lock ownership first. Tax modelling second, on real drawings — not on a slogan.
OPC or proprietorship?
Different statutes. OPC is a company with limited liability and ROC load. A proprietorship has no CIN. Do not mix the two in one sentence to a banker.
